1. The agreement
These terms form a binding agreement between you and AmpOn.io (“AmpOn”, “we”, “us”). If you agree to them on behalf of an organisation, you confirm you have authority to bind that organisation, and “you” means that organisation.
Where you have signed a separate order form, quote or master agreement with us, that document governs if it conflicts with these terms.
2. Definitions
| Platform | The AmpOn Charge Point Management System and any software we make available to you. |
| Hardware | Chargers, pedestals, mounting and accessories supplied by AmpOn. |
| Site | A physical location where your chargers are installed. |
| Driver | A person who uses a charger operated through the Platform. |
| Customer Data | Data you put into the Platform, and data generated by operating your chargers, including session records and telemetry. |
| Order | A quote, order form or purchase order accepted by both of us. |
3. What we provide
Depending on your Order, AmpOn provides some or all of:
- Charge point management. Monitoring, control, configuration and remote diagnostics of chargers over OCPP 1.6 and 2.0.1.
- Payments. Taking payment from drivers, applying your tariffs, and settling revenue to you.
- Reporting and analytics. Session, utilisation, energy, cost and margin reporting.
- Deployment support. Help planning, commissioning and activating sites.
- Hardware. Supply of chargers and accessories under an Order.
- API access. Programmatic access to your own data and controls.
We may improve or change the Platform over time. We will not materially reduce its core functionality during a paid term without telling you.
4. Accounts and eligibility
The Platform is for business use by people aged 18 or over. You agree to:
- Give accurate registration information and keep it current.
- Keep credentials confidential, and not share logins between people.
- Be responsible for everything done under your account, including by your staff and contractors.
- Tell us promptly at support@ampon.io if you suspect unauthorised access.
5. Your responsibilities
You are responsible for:
- Your Sites, including safety, access, signage, lighting and physical security of the Hardware.
- Obtaining permits, approvals and utility agreements needed for your installation.
- Network connectivity at the Site, and the electricity supply the chargers depend on.
- Setting your own tariffs, and for the tax treatment of what you charge drivers.
- Your relationship with your drivers, including any notice or consent their data requires.
- Complying with the laws that apply to operating charging infrastructure where you are.
6. Hardware: orders, delivery, title and warranty
Orders and pricing
Hardware is supplied under an Order at the prices quoted in it. Unless the Order says otherwise, prices exclude delivery, duties, taxes and any site-specific electrical work, and are quoted for collection from AmpOn.
Delivery, risk and title
Risk passes to you on delivery or collection. Title passes when we have received payment in full. Delivery dates are estimates; we are not liable for delay outside our control.
Warranty
Hardware carries the manufacturer’s warranty stated in your Order or its documentation. That warranty does not cover damage from incorrect installation, misuse, vandalism, accident, unauthorised modification, power surges, or use outside the unit’s rated conditions. To claim, contact support@ampon.io with the serial number and a description of the fault.
7. Installation and electrical work
Unless your Order expressly includes installation, AmpOn does not install Hardware. Installation must be carried out by a licensed electrical contractor, in accordance with the National Electrical Code as adopted in your jurisdiction, the manufacturer’s instructions, and all applicable local rules and permits.
Any electrical figure we provide (circuit sizing, breaker rating, conductor size, service size, single-line diagram) is indicative planning arithmetic. It is not a design, it is not for construction, and it must be reviewed and stamped by a licensed engineer before any work is carried out. You are responsible for the design and the work actually performed at your Site.
8. Fees, invoicing and taxes
- Platform fees are charged per port per month, or as set out in your Order.
- Invoices are payable within the period stated on them. Unless stated otherwise, that is 30 days.
- Fees exclude sales tax, VAT, GST and similar taxes, which you pay in addition where they apply.
- We may charge interest on overdue amounts at the lower of 1.5% per month or the maximum the law allows, and may suspend the Platform where an account is materially overdue and unresolved after notice.
- Fees already paid are non-refundable except where these terms or the law says otherwise.
- We may change fees at renewal, with at least 30 days’ notice before the renewal date.
9. Driver payments and settlement
Where you use AmpOn to take payment from drivers:
- Card processing is performed by a third-party payment processor, and is subject to that processor’s own terms. You may need to complete its onboarding and verification.
- We collect payment on your behalf and settle it to you, less our fees and the processor’s fees, on the schedule in your Order.
- You set the tariff. You are responsible for its accuracy, its legality, and for displaying it to drivers as local rules require.
- Chargebacks, refunds and disputes are your commercial responsibility. We will pass them on and help you respond, and may deduct them from later settlements.
- We may withhold settlement where we reasonably suspect fraud, or where we are required to.
10. Acceptable use
You must not:
- Use the Platform unlawfully, or to facilitate anything unlawful.
- Attempt to access another customer’s data, or any part of the system you are not authorised to reach.
- Probe, scan or test the security of the Platform without our written permission.
- Interfere with its operation, or place a load on it designed to disrupt it.
- Reverse engineer, decompile or attempt to derive source code, except where the law permits it.
- Resell or make the Platform available to a third party, unless your Order allows it.
- Remove or obscure any proprietary notice.
11. Your data, and who owns what
You own your Customer Data. We claim no ownership of it. You grant us a non-exclusive licence to host, process and transmit it only as needed to provide the Platform, to support you, and to meet our legal obligations.
We may produce aggregated and de-identified statistics from Platform usage (utilisation benchmarks, fault patterns, performance figures) and use them to operate and improve the service. These never identify you, your Sites or any driver, and we will not present them in a way that could.
Where we process personal data on your behalf, we do so as your processor. How we handle personal information generally is set out in our Privacy Policy. If you need a data processing agreement, ask us at support@ampon.io.
12. API and integrations
API access is provided for use with your own data and your own chargers. We may apply rate limits, and may change or deprecate endpoints with reasonable notice. Keep your API credentials secret; you are responsible for calls made with them. Third-party integrations you connect are governed by their own terms, and we are not responsible for them.
13. Text messaging programme
You agree to receive information messages (appointment reminders, account notifications, etc.) from AmpOn. Message frequency varies. Message and data rates may apply. For help, reply HELP or email us at support@ampon.io. You can opt out at any time by replying STOP.
What you are opting in to
When you give us your mobile number and consent, you agree to receive informational text messages from AmpOn. These include appointment and site-visit reminders, account notifications, quote and order updates, and service alerts about your chargers. We do not send marketing or promotional text messages under this programme.
Frequency
Message frequency varies, and depends on your account activity and the Sites you operate.
Cost
AmpOn does not charge you for these messages. Message and data rates may apply from your mobile carrier, under your own plan.
Opting out
Reply STOP to any message to opt out. You will receive a single confirmation and then no further messages. To opt back in, contact us and give consent again.
Getting help
Reply HELP to any message, or email support@ampon.io.
Carriers and delivery
Carriers are not liable for delayed or undelivered messages. Delivery depends on your carrier’s network and your handset. Supported carriers may change.
Your number
Mobile opt-in information, including phone numbers and SMS consent, is not shared with third parties for marketing purposes. See our Privacy Policy for the full detail.
14. Estimates and planning tools
Any figure produced by a calculator or planner on this site (cost to commission, payback, net operating income, NPV, IRR, utilisation, electrical sizing, or advertising revenue) is an indicative planning estimate. It is not a quote, not a design, not a promise of performance, and not financial advice.
These figures rest on stated assumptions that will not match your site exactly. Advertising revenue figures in particular are planning estimates, not a rate card and not a commitment. Actual results depend on conditions we cannot see, including utility capacity, site conditions, local pricing, permit costs and driver demand. A formal quote from AmpOn is the only figure you should rely on, and only within its stated validity.
15. Availability, maintenance and support
We work to keep the Platform available, but do not guarantee uninterrupted operation unless your Order includes a service level agreement. We may carry out maintenance, and will give reasonable notice of planned work that will interrupt service. We may suspend access without notice where needed to protect the Platform, other customers, or safety.
Support is provided at support@ampon.io during business hours, or as your Order sets out.
16. Intellectual property
AmpOn and its licensors own the Platform, this site, the documentation, and all intellectual property in them. Subject to these terms and to payment, we grant you a non-exclusive, non-transferable, revocable right to use the Platform during your term. Nothing transfers ownership. Feedback you give us may be used freely, without obligation to you.
17. Confidentiality
Each of us may receive information the other treats as confidential. Each will protect the other’s confidential information with at least reasonable care, use it only for the purpose of this agreement, and not disclose it except to people who need it and are bound to keep it confidential. This does not apply to information that is public through no fault of the recipient, already known, independently developed, or required to be disclosed by law.
18. Warranties and disclaimers
Each of us warrants that it has the authority to enter into this agreement. We warrant that we will provide the Platform with reasonable skill and care.
EXCEPT AS EXPRESSLY STATED, THE PLATFORM AND THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, AMPON DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY ESTIMATE IT PRODUCES WILL PROVE ACCURATE.
Nothing here excludes a warranty or right that cannot lawfully be excluded, including under consumer law where it applies to you.
19. Indemnity
You will defend and indemnify AmpOn against claims arising from your Sites, your installation, your tariffs, your relationship with drivers, your Customer Data, or your breach of these terms, except to the extent the claim arises from our own breach or negligence.
20. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
EACH PARTY’S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNTS PAID OR PAYABLE BY YOU TO AMPON IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
These limits do not apply to your obligation to pay fees, to either party’s breach of confidentiality, to your indemnity obligations, or to any liability that cannot lawfully be limited, including death or personal injury caused by negligence, and fraud.
21. Term, termination and getting your data out
Your subscription runs for the term in your Order and renews as that Order provides. Either of us may terminate for material breach that is not cured within 30 days of written notice. We may suspend or terminate immediately where required by law, or where continued use presents a security or safety risk.
On termination your right to use the Platform ends. For 30 days afterwards you may export your Customer Data, or ask us for an export. After that we may delete it, subject to what we must keep by law. Your chargers will continue to operate, but without the Platform managing them.
22. Changes to these terms
We may update these terms. The date at the top shows when they last changed. Where a change materially affects your rights we will give at least 30 days’ notice by email or in the Platform, and continued use after it takes effect means you accept it. If you do not accept a material change, you may terminate before it takes effect and we will refund any prepaid fees for the unused period.
23. General
- Entire agreement. These terms, your Order and any document they reference are the whole agreement between us on this subject.
- Assignment. Neither of us may assign this agreement without the other’s consent, except to an acquirer of substantially all of its business.
- Severability. If any provision is unenforceable, the rest stands.
- No waiver. Not enforcing a right is not a waiver of it.
- Force majeure. Neither of us is liable for failure caused by events outside reasonable control, including utility failure, natural disaster and network outage.
- Notices. To AmpOn: support@ampon.io. To you: the contact details on your account.
- Independent contractors. Nothing here creates a partnership, joint venture or employment relationship.
